LISTING AND MAINTENANCE REQUIREMENTS. Except as described in Lynx's Annual Report for the year ended December 31, 2002 initially filed on Form 10-K with the Commission on March 28, 2003, as amended (the "ANNUAL REPORT"), Lynx has not, in the two years preceding the date hereof, received notice (written or oral) from any Trading Market on which the Common Stock is or has been listed or quoted to the effect that Lynx is not in compliance with the listing or maintenance requirements of such Trading Market.
