Lithium FSAs has the meaning set forth in Section 6.04 hereto. “Lithium H&W Plan” means any Lithium Plan that is (a) an “employee welfare benefit plan” or “welfare plan” (as defined under Section 3(1) of ERISA) or (b) a similar plan that is sponsored, maintained, administered, contributed to or entered into outside of the United States. For the avoidance of doubt, Lithium FSAs are Lithium H&W Plans. “Lithium Inactive Employee” has the meaning set forth in Section 3.01(b) hereto. “Lithium NQ Savings Plan” has the meaning set forth in Section 5.05(a) hereto. “Lithium Option” has the meaning set forth in Section 8.04(a) hereto. “Lithium Participant” means any individual who is a Lithium Employee or Lithium Contractor, and any beneficiary, dependent, or alternate payee of such individual, as the context requires. “Lithium Plan” means any Employee Plan that (a) is or was sponsored, maintained, administered, contributed to or entered into by any member of the Lithium Group, whether before, as of or after the Separation Date or (b) for which Liabilities transfer to any member of the Lithium Group under this Agreement or pursuant to applicable Law as a result of the Distribution. 4 #90914078v33

Examples of Lithium FSAs in a sentence

  • The parties shall cooperate in good faith to provide that the contribution elections of each such Lithium Participant as in effect immediately before the applicable Benefits Commencement Date remain in effect under the Lithium FSAs from and after the applicable Benefits Commencement Date.
