Loan Party Plan of Reorganization shall have the meaning set forth in Section 12.04(b)(H).
Loan Party Plan of Reorganization shall have the meaning set forth in Section 12.04(a)(iv)(G). “Loan Purchase Amount” shall have the meaning set forth in the definition ofDutch Auction.” “Loans” shall mean the Term Loans, the Other Term Loans, and any other loans created pursuant to an Extension. “Majority Lenders” of any Tranche shall mean those Non-Defaulting Lenders which would constitute the Required Lenders under, and as defined in, this Agreement if all outstanding Obligations of the other Tranches under this Agreement were repaid in full and all Commitments with respect thereto were terminated. “Mandatory Prepayment Date” shall have the meaning set forth in Section 4.02(f). “Margin Stock” shall have the meaning set forth in Regulation U of the Board. “Market Capitalization” means an amount equal to (i) the total number of issued and outstanding shares of Capital Stock of the Holdings (or any successor entity) or any direct or indirect parent of the Holdings on the date of the declaration or making of the relevant Restricted Payment multiplied by (ii) the arithmetic mean of the closing prices per share of such Capital Stock for the 30 consecutive trading days immediately preceding the date of declaration or making of such Restricted Payment. “Material Adverse Effect” means (a) on the Closing Date, a Company Material Adverse Effect (as defined in the Closing Date Acquisition Agreement) and (b) at any time after the Closing Date, (i) a material adverse change in, or a material adverse effect upon, the operations, business, properties, liabilities (actual or contingent), or financial condition of the Parent Borrower and its Subsidiaries taken as a whole; (ii) a material impairment of the ability of the Loan Parties, taken as a whole, to perform its obligations under any Loan Document to which they are a party; or (iii) a material impairment of the rights and remedies of the Administrative Agent or any Lender under any Loan Document or a material adverse effect upon the legality, validity, binding effect or enforceability against the Loan Parties, taken as a whole, of any Loan Document to which they are a party. “Material Indebtedness” shall have the meaning set forth in Section 7.07(b). “Materials of Environmental Concern” shall mean any pollutants, contaminants, wastes, toxic, hazardous, explosive or radioactive materials, or substances, including any petroleum or petroleum products, asbestos, polychlorinated biphenyls, lead or lead-based paints or materials, potentially infectious m...

  • Plan of Reorganization means any plan of reorganization, plan of liquidation, agreement for composition, or other type of plan of arrangement proposed in or in connection with any Insolvency or Liquidation Proceeding.

  • Reorganization Transactions shall have the meaning set forth in the Recitals.

  • Capital Reorganization shall have the meaning set forth in Section 4.3.

  • Approval Order means an order entered by the Bankruptcy Court, pursuant to Sections 363 and 365 of the Bankruptcy Code, authorizing and approving, among other things, (a) the sale of the Purchased Assets (b) the assumption of the Assumed Liabilities by Purchaser and (c) the assumption and assignment of the Purchased Contracts, in accordance with the terms and conditions of this Agreement, which will be in a form and substance reasonably acceptable to the Parties.
