Maintenance Customer definition

Maintenance Customer means each of the twenty-five (25) largest customers of the Company and its Subsidiaries, determined on the basis of revenues received by the Company or any of its Subsidiaries for maintenance services for the fiscal year ended December 31, 2008.

  • Unless otherwise agreed to by the parties in writing: (i) annual Maintenance renewal, if any, will be at MSC's then-current Maintenance prices, and (ii) to purchase any Maintenance, Customer is required to purchase Maintenance for all Software Customer has licensed from MSC.

  • Service Availability is calculated as a percentage by dividing the number of minutes the Service is available during the applicable month by the number of total minutes in the applicable month, excluding in all cases Scheduled Maintenance, Customer Error Incidents, and Force Majeure.

  • Unless otherwise agreed to by MSC in writing, to purchase any Maintenance, Customer is required to purchase Maintenance for all Software Customer has licensed from MSC.

  • Unless otherwise agreed to in writing by MSC, to the extent MSC makes subsequent release(s) of Software available to Customer under Maintenance, Customer agrees to: (i) install and use such subsequent release(s) as soon as practicable; and (ii) upon installation of such subsequent release(s), de-install and discontinue use of prior release(s) of the same Software.

  • The Company has prepared and filed with the Commission a shelf registration statement on Form S-3 (File No. 333-238209) that contains a base prospectus (the “Base Prospectus”).

  • If Sprint does not have full and free access to inspect CPE and to provide Maintenance, Customer will be assessed a trip charge at Sprint’s then current rates and Customer must arrange another time for Sprint to provide Maintenance.

  • If Customer elects to renew Support and Maintenance, Customer must renew Support and Maintenance in full.

  • Maintenance Customer will be responsible for cleaning the accessible parts of the Glissando Scanner.

Related to Maintenance Customer

  • End-Use Customer means a person or entity in Delaware that purchases electrical energy at retail prices from a Retail Electricity Supplier.

  • Scheduled Maintenance means any adjustment, repair, removal, disassembly, cleaning, or replacement of components or systems required by the manufacturer which is performed on a periodic basis to prevent part failure or equipment or engine malfunction, or anticipated as necessary to correct an overt indication of malfunction or failure for which periodic maintenance is not appropriate.

  • Network Customer means an entity receiving transmission service pursuant to the terms of the Transmission Provider’s Network Integration Transmission Service under Tariff, Part III.

  • Maintenance Outage means the temporary operational removal of the Facility from service to perform work on specific components of the Facility, at a time when the Facility must be removed from service before the next Scheduled Outage in the interest of safety or the prevention of injury or damage to or undue wear and tear on the Facility or any component thereof.

  • End User Customer means a third party retail Customer that subscribes to a Telecommunications Service provided by either of the Parties or by another Carrier or by two (2) or more Carriers.
