Majority Canadian Lenders at any time shall mean those Canadian Lenders which at such time hold a majority of the then Maximum Canadian Dollar Revolving Loan Sub-Commitments.

Majority Canadian Lenders the meaning ascribed to the term "Majority ------------------------- Lenders" in the Canadian Credit Agreement.
Majority Canadian Lenders means, at any time, Canadian Revolving Lenders owed or holding at least a majority in interest of the sum, without duplication, of (a) the aggregate principal amount of the Canadian Revolving Loans outstanding at such time, (b) the aggregate Available Amount of all Canadian Letters of Credit outstanding at such time and (c) the aggregate Unused Canadian Revolving Commitments at such time; provided that if any Canadian Revolving Lender shall be a Defaulting Lender at such time, there shall be excluded from the determination of Majority Canadian Revolving Lenders at such time (i) the aggregate principal amount of the Canadian Revolving Loans owing to such Lender (in its capacity as a Canadian Revolving Lender) and outstanding at such time, (ii) such Canadian Lender's Pro Rata Share of the aggregate Available Amount of all Canadian Letters of Credit outstanding at such time and (iii) the Unused Canadian Revolving Commitment of such Lender at such time. For purposes of this definition, the aggregate principal amount of (x) Canadian Swing Line Loans, (y) Canadian Letter of Credit Loans owing to the Canadian Issuing Bank and (z) the Available Amount of each Canadian Letter of Credit shall be deemed "owed to" the Canadian Revolving Lenders ratably in accordance with their respective Canadian Revolving Commitments.
Majority Canadian Lenders at any time, the holders of more than 50% of the Canadian Revolving Loan Commitments then in effect or, if the Canadian Revolving Loan Commitments have been terminated, the Aggregate Canadian Credit Exposure.
