Make Whole Breakage Amount definition

Make Whole Breakage Amount means an amount calculated as follows:
Make Whole Breakage Amount. As defined in Section 5.
Make Whole Breakage Amount means, as calculated by Administrative Agent, the greater of (i) one percent (1%) of the amount being prepaid and (ii) the excess, if any, of (A) the sum of the net present values of each scheduled interest and principal payment of the Loan, including the payment of the balance of the Loan (together with accrued interest thereon) on the then scheduled Maturity Date, discounted to the date of the prepayment at an interest rate equal to the Replacement Treasury Yield plus fifty (50) basis points, over (B) the amount of principal being prepaid.

Examples of Make Whole Breakage Amount in a sentence

  • Xxxxxxxx agrees that (i) Lender shall not be obligated to actually reinvest the amount prepaid, and (ii) the Make-Whole Breakage Amount is directly related to the damages that Lender will suffer as a result of the prepayment.

  • Upon the occurrence of an Event of Default, Lender may, but shall not be obligated, to apply at any time the balance then remaining in the Replacement Reserve Escrow Account against the Loan in whatever order Lender shall subjectively determine, together with the Make-Whole Breakage Amount arising on account of such payment.

  • Any such prepayment shall be without penalty unless, and then only to the extent that, the Make-Whole Breakage Amount is due.


More Definitions of Make Whole Breakage Amount

Make Whole Breakage Amount means the sum of (1) the sum of the present value on the date of prepayment of each MW Monthly Interest Shortfall (Initial Advance) discounted at the monthly compounded Replacement Swap Rate, plus (2) the sum of the present value on the date of prepayment of each MW Monthly Interest Shortfall (Fixed) for the remaining term of the Loan (including any extension thereof) discounted at the Replacement Swap Rate.
Make Whole Breakage Amount means the sum of present value on the date of prepayment of each Monthly Interest Shortfall (as hereinafter defined) for the remaining term of the Loans discounted at the Discount Rate (as hereinafter defined).
Make Whole Breakage Amount means, as calculated by Agent, the greater of (i) one percent (1%) of the amount being prepaid and (ii) the excess, if any, of (A) the sum of the net present values of each scheduled interest and principal payment of the Ten Project Loan, including the payment of the balance of the Ten Project Loan (together with accrued interest thereon) on the then scheduled Ten Project Maturity Date, discounted to the date of the prepayment at an interest rate equal to the Replacement Treasury Yield plus fifty (50) basis points, over (B) the amount of principal being prepaid.
Make Whole Breakage Amount shall have the meaning assigned to such term in the Second Amended Note.
Make Whole Breakage Amount means the amount resulting from the calculation set forth in Schedule 2.3.5 attached hereto.
Make Whole Breakage Amount means the sum of the present value on the date of any prepayment of each Monthly Interest Shortfall for the remaining term of the Loan discounted at the Discount Rate.
Make Whole Breakage Amount has the meaning assigned in Schedule 2.3(d).
