Managed Entity definition

Managed Entity means any corporation, company, partnership, joint venture and/or firm in which the Company, Valence or any Affiliate of the Company or Valence has a direct or indirect equity interest or interest as a lender and in which Executive has at any time held a management position.
Managed Entity means any corporation, company or other person or body for whom or to which Services are provided;
Managed Entity means any Domestic Subsidiary

Examples of Managed Entity in a sentence

  • For purposes of clarity, Executive’s provision of services to NRF, any other NSAM Managed Entity and/or any of their subsidiaries during the Executive’s employment by the Company pursuant to the terms of a management agreement between the Company (or any of its subsidiaries) and such entity (or as a direct employee of NRF and/or its subsidiaries) shall not constitute a breach of this Section 7(a).

  • In these cases, the investment may be made by another Managed Entity or by Asset Manager or one of its Affiliated Entities without NRE having an opportunity to make such investment.

  • It is further acknowledged by NRF that certain types of Investment Opportunities may not enter the allocation process because of special or unique circumstances related to the Real Estate Asset or the seller of the Real Estate Asset, among other things, that in the judgment of the Investment Committee do not fall within the investment objectives or mandate of any particular Managed Entity, including NRF or another Affiliated Entity.

  • Manager shall not be required to compensate the Managed Entity for any costs and expenses relating to the services obtained from such alternate sources.

  • This Agreement shall not be assigned by the Managed Entity without the prior written consent of Manager.
