Upon reduction of the amounts payable to the Company Stockholders and Optionholders that are obligated for Management Loans under subparagraphs (f) and (g) above, the Management Loans shall be deemed paid in full by such Company Stockholder or Optionholder, as the case may be and the Surviving Corporation shall have no further recourse against such Company Stockholder or Optionholder in respect thereof.
