A Management Securityholder may Transfer Participant Securities (a) in a Public Offering pursuant to Section 4 below or (b) from and after the closing of the Initial Public Offering, pursuant to Rule 144 or a block sale to a financial institution in the ordinary course of its trading business (provided that the Management Securityholders shall agree to lock-up periods in connection with registered Public Offerings as requested by the managing underwriters).
Xxxxx (or if Xx. Xxxxx is no longer Chief Executive Officer, another Initial Management Securityholder) shall be conclusively deemed to constitute the consent of all Management Securityholders.
Notwithstanding the foregoing, except as otherwise expressly provided herein, all Sales and Encumbrances permitted by the foregoing clauses (i) through (vii) shall be subject to, and shall not be made other than in compliance with, the provisions of Sections 3.1, 3.2, 3.6 and 4.9. In the event that the Company approves an Initial Public Offering, the holders of Options or Award Securities will take all necessary or desirable actions in connection with the consummation of such offering; provided that any recapitalization or restructuring of the Company’s equity in connection with an Initial Public Offering will be effected in accordance with the terms and conditions of the Management Securityholders Addendum and the Company’s organizational documents.
All Award Securities issued pursuant to the exercise of any Option shall not be Transferable (other than pursuant to Article VI or as otherwise permitted pursuant to the terms of the Management Securityholders Addendum) by the Participant who exercised such Option and purchased such Award Securities (or any subsequent transferee).
Exercise of any Options shall constitute agreement by the Participant making such exercise to be bound by all of the terms and conditions of the Management Securityholders Addendum with respect to the Award Securities, or any other Company security, issuable to such Participant.
