The parties agree that, following the Distribution, there is (a) no current practical business need for Manitowoc ParentCo to use or have access to the SpinCo Google+ Account and, similarly, (b) no current practical business need for SpinCo to use or have access to the Manitowoc ParentCo Google+ Account.
SpinCo shall have the meaning set forth in the Preamble.
Universal Digital Loop Carrier (UDLC means the DLC system that has a CO terminal channel bank that is connected to the CO switches on the analog side.
Sprint means a set period of time during which specific work is realized and made ready for review.
Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.
Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.
SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.
Xxxxxxx Group means (i) any member of the Xxxxxxx Family, (ii) Xxxxxxx Energy Partners I, LP and SEP Management I, LLC, (iii) Xxxxxxx Parent, (iv) Xxxxxxx Investor, (v) Xxxxxxx Production Partners LP, (vi) Xxxxxxx Oil & Gas Corporation, (vii) Blackstone Newco and (viii) any Person Controlled by any one or more of the foregoing (other than the General Partner, the Partnership or any of their respective Subsidiaries).
Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.
ITT means the Purchaser’s invitation to tender dated (date ITT issued).
AMC means Annual Maintenance Contract
Broadridge means Broadridge Financial Solutions, Inc.
SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”
Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.
Distributor / Distribution Company means Company(ies), Firm(s), Sole Proprietorship concern(s), individual(s), Banks or any other Financial Institution appointed by the Management Company under intimation to the Trustee for performing any or all of the Distribution Functions and who are registered with MUFAP as Registered Service Providers. The Management Company may itself also performs the Distribution Function.
Verizon means Verizon Communications Inc., a Delaware corporation.
RemainCo shall have the meaning set forth in the Preamble.
Comcast means Comcast Corporation, a Pennsylvania corporation.
Cendant means Cendant Corporation, a Delaware corporation.
OPC has the meaning specified in the recital of parties to this Agreement.
TWC means The Willxxxx Xxxpanies, Inc., a Delaware corporation.
Distribution Network Operator or “DSO” shall mean the operator of a Distribution Network.
MPC means Marathon Petroleum Corporation, a Delaware corporation.
LSC shall have the meaning set forth in the preamble hereto.
ACCO means the person delegated authority by the Commissioner to organize and supervise the procurement activity of subordinate agency staff in conjunction with the CCPO, or his/her duly authorized representative. All written notices or communications to the ACCO shall be sent, as specified, to 00 Xxxxx Xxxxxx, 0xx Xxxxx, Xxx Xxxx, Xxx Xxxx 00000 (“Office of the ACCO”).
ADT means Weighted Average Daily Traffic, or the ratio between (a) traffic to (b) the number of days in a given period of time. Traffic is the number of vehicle crossings in toll plazas or free toll roads in a given period of time.
SpinCo Separate Return means any Separate Return of SpinCo or any member of the SpinCo Group.
