Manufacturing and Supply Agreements definition

Manufacturing and Supply Agreements means those Manufacturing and Supply Agreements, dated as of the date hereof, between Xxxxxxxx-Xxxxx or its Affiliates on the one hand, and Halyard or its Affiliates on the other hand.

Manufacturing and Supply Agreements means the Master Manufacturing and Supply Agreements, each dated as of October 1, 2012, by and between Pfizer and the Company, and any product addenda thereto.

• The activities of Becton, Nanogen and their respective Affiliates pursuant to the Manufacturing and Supply Agreements described in this Section 2.3 shall be undertaken exclusively within the Field.

• Novartis and Tanox (to the extent each is obligated to manufacture and supply under Sections 7.4 and 7.5) shall use Commercially Reasonable Efforts, through the mechanisms set forth in this Agreement (including through a worldwide manufacturing and supply plan approved by the Project Steering Committee) and any Manufacturing and Supply Agreement(s), to ensure that an adequate supply of Products is available to meet worldwide clinical requirements and commercial requirements.
