Market Transfer definition

Market Transfer means a transfer (within the meaning of Division 3 of Part 7.12) that:
Market Transfer means a sale or other transfer which is effected in accordance with the provisions of Rule 144 under the Securities Act or any successor rule 9 5 thereto, or a market sale or similar transaction (including a block trade that is not designed to effect a broad distribution) which is effected outside of the United States.
