Material Claims definition

Material Claims has the meaning set forth in Section 10.4(d).
Material Claims is defined in Section 9.4(e).
Material Claims means Losses arising out of or relating to (i) any breaches of or inaccuracies in any Fundamental Representations, (ii) any matter for which indemnification may be sought under Section 10.2(c), Section 10.2(e) and Section 10.2(f), and (iii) with respect to a Securityholder, such Securityholder’s Securityholder Indemnity Events.

Examples of Material Claims in a sentence

  • Grantor shall not (a) take any remedial action in response to the presence of any Hazardous Materials in, on, under or about the Secured Property, or (b) enter into any settlement agreement, consent decree or other compromise in respect of any such Hazardous Materials or any Hazardous Material Claims.

  • The City shall have the right, but no obligation, to join and participate in, as a party if it so elects at the City’s cost, any legal proceedings or actions initiated in connection with any Hazardous Material Claims.
