Material Service Contracts definition

Material Service Contracts as defined in Section 3.8(d).
Material Service Contracts has the meaning set forth in Section 3.26
Material Service Contracts means all contracts (except for Leases, Ground Leases and Brokerage Agreements) relating to the management, leasing, operation, maintenance or repair of the Properties or that would otherwise affect the use, operation or enjoyment of the Properties (collectively, "Service Contracts") that are either (i) not terminable upon one month's notice or less without payment or penalty; or (ii) for which the services thereunder cost in excess of Seventy-Five Thousand ($75,000) Dollars per annum with respect to any individual Property. To such party's knowledge, all of the Material Service Contracts are in full force and effect and such party has not received written notice of any material default thereunder. All Service Contracts (other than those executed in contravention of the terms thereof) shall be assigned to, and assumed by, the Relevant Purchasers, as applicable, at the Closing for the Properties affected by such Service Contracts, to the extent such Service Contracts are assignable and all necessary consents have been obtained.
