Material Subcontracts definition

Material Subcontracts means the subcontracts between the DBO Contractor and those Material Subcontractors, Suppliers and Equipment Vendors referred to in Article 12 listed in Appendix 4 and "Material Subcontractor" shall have the concomitant meaning.
Material Subcontracts has the meaning given in clause 3.8.
Material Subcontracts means any subcontract wherein the Company is obligated to pay more than $100,000.00 thereunder.

Examples of Material Subcontracts in a sentence

  • For Material Subcontracts executed or amended after the Effective Date of the Contract, HMO must submit a copy to HHSC no later than five (5) Business Days after execution or amendment.

  • The Contractor shall make best efforts to ensure that all Material Subcontracts stipulate that Massachusetts general law or Massachusetts regulation will prevail if there is a conflict between the state law or state regulation where the Material Subcontractor is based.

  • Contractor shall include in each of the Material Subcontracts, and shall use commercially reasonable efforts to include in all other Subcontracts, a provision (i) permitting the assignment of such Subcontract to Owner or its designee without additional payment and (ii) requiring Subcontractor to perform the Work for Owner or its designee upon such assignment.

  • For the purposes of this Agreement, Material Subcontracts do not include contracts with any non-Affiliates for any of the following, regardless of the value of the contract: utilities (e.g., water, electricity, telephone, Internet, trash), mail/shipping, office space, maintenance, security, or computer hardware.

  • At Administrative Agent’s request, copies of all Material Subcontracts.

  • For the purposes of this Contract, Material Subcontracts do not include contracts with any non-Affiliates for any of the following, regardless of the value of the contract: utilities (e.g., water, electricity, telephone, Internet, trash), mail/shipping, office space, maintenance, security, or computer hardware.

  • Appendix P, Requirements for the Material Subcontracts Between Managed Care Organizations (MCOs) and Community Partners (CPs), is hereby deleted and replaced with the attached Appendix P.

  • Borrower has delivered to Administrative Agent true, complete and correct copies of all Material Subcontracts that have been entered into prior to the date hereof, if any.

  • All other subcontracts of the Service Provider’s responsibilities under the Agreement (Material Subcontracts) may only be entered into if the Service Provider obtains the Industry Body’s prior written consent.

Related to Material Subcontracts

  • Major Subcontract means any Subcontract with a Major Subcontractor.

  • Project Contracts means collectively this Agreement, the Land Lease Agreement, the Construction Contract, O&M Contracts (if any) and any other material contract (other than the Financing Documents) entered into or may hereafter be entered into by the Concessionaire in connection with the Project;

  • Material Project Documents means, collectively, the Power Purchase Agreement, the EPC Contract, the Transmission Facilities Construction Agreement, the O&M Agreement, the Coal Supply Agreements, the Coal Transportation Agreement and all other instruments, agreements or other documents arising from or related to the Project, but shall not include any Financing Agreement.

  • Material Contracts has the meaning set forth in Section 3.09(a).

  • Major Subcontractor means a Subcontractor who enters into a Major Subcontract.

  • Subcontracts means subcontract(s) in any tier.

  • Third Party Subcontract means a subcontract entered into by the Third Party Contractor with a Third Party Subcontractor, or a Third Party Subcontractor with another Third Party Subcontractor at any tier, and is supported in whole or in part with the federal assistance originally derived from FTA, or non- federal share dedicated to the Recipient’s Underlying Agreement.

  • Material Suppliers has the meaning set forth in Section 3.15(b).

  • Third Party Contracts means any agreements entered into by the Retailer and/or the Customer with any third parties, such as the Transmission Licensee and the MSSL, to enable the Retailer to retail electricity to Contestable Consumers. For the purposes of this Electricity Agreement, Third Party Contracts shall include, but is not limited to, the Retailer Use of Systems Agreement, the Market Support Services Agreement, and the Power System Operator•Market Participant Agreement (as defined under the Market Rules);

  • Project Documents means all documents relating to the Construction Loan, Mortgage Loan and Construction Contract. It shall also include all documents required by any governmental agency having jurisdiction over the Apartment Housing in connection with the development, construction and financing of the Apartment Housing, including but not limited to, the approved Plans and Specifications for the development and construction of the Apartment Housing.

  • Company Material Contracts has the meaning set forth in Section 3.18(a).

  • Seller Contracts means all contracts, agreements and leases, other than those that are Governmental Permits, to which Seller is a party and pertain to the ownership, operation or maintenance of the Assets or the Business, including those described on Schedule 1.8.

  • Customer Contracts has the meaning set forth in Section 2.1(b)(ii)(A).

  • Material Agreements shall have the meaning assigned to such term in Section 4.16 hereof.

  • Assigned Contracts has the meaning set forth in Section 2.01(c).

  • Governmental contract means a contract awarded by a governmental entity for general construction, an improvement, a service, or a public works project for a purchase of supplies, materials, or equipment. The term includes a contract to obtain a professional or consulting service subject to Government Code, Chapter 2254.

  • Business Contracts has the meaning ascribed to it in Section 1.01(a)(v).

  • Project Contract means any contract between the District or the Corporation and any contractor or vendor regarding the construction, production or other acquisition or installation of any part of an Acquisition Project.

  • Service Subcontract means a subcontract primarily for the furnishing of services, to or for a recipient of Assistance, except where services are incidental to the delivery of products, equipment or commodities. A contract for the purchase or lease of goods, products, equipment, supplies or other property is not a “service subcontract” for the purposes of this definition.

  • Government Contracts has the meaning set forth in Section 3.09(a)(viii).

  • Intellectual Property Contracts means all agreements concerning Intellectual Property, including without limitation license agreements, technology consulting agreements, confidentiality agreements, co-existence agreements, consent agreements and non-assertion agreements.

  • RFP Project Documents means the following documents to be entered into in respect of the Project, by the parties to the respective agreements:

  • Sub-subcontractor means a Person engaged by a Subcontractor to perform a portion of the Trade Contractor Work. The term “Sub-Subcontractor” also includes any lower tier Persons engaged by Sub-Subcontractor to perform a portion of the Trade Contractor Work.

  • Assumed Contracts has the meaning set forth in Section 2.1(d).

  • Construction Contracts means the contracts between Lessee and Contractors for the furnishing of labor, services or materials to the Leased Premises in connection with the construction of the Improvements.

  • List of Approved Contractors means a list developed by each Transmission Owner and published in a PJM Manual of (a) contractors that the Transmission Owner considers to be qualified to install or construct new facilities and/or upgrades or modifications to existing facilities on the Transmission Owner’s system, provided that such contractors may include, but need not be limited to, contractors that, in addition to providing construction services, also provide design and/or other construction-related services, and (b) manufacturers or vendors of major transmission-related equipment (e.g., high-voltage transformers, transmission line, circuit breakers) whose products the Transmission Owner considers acceptable for installation and use on its system.
