Material Vendor Contract definition

Material Vendor Contract means an agreement between the Southeast EEM Agent, on behalf of the Members, and any vendor or supplier that, together with all other such agreements with such vendor or supplier and its Affiliates, involves aggregate consideration payable by the Members.
Material Vendor Contract means any agreement of any Loan Party with any vendor or supplier that, together with all other such agreements with such vendor or supplier and its Affiliates, involves aggregate consideration payable (or projected to be payable) by such Loan Party during any fiscal year in excess of 7.5% of the Loan Parties’ aggregate gross purchases for such period.
Material Vendor Contract shall have the meaning set forth in Section 5.14(a)(i) hereof.

  • Between the date hereof and the Initial Closing, promptly following any request by the Purchaser, the Sellers shall use Reasonable Efforts to introduce the Purchaser to any Vendor counterparty to any Material Vendor Contract identified on Schedule 1.1(d)(ii), so as to assist the Purchaser in establishing its own vendor relationship with such Vendor.

  • Major Contract means (i) any management agreement relating to the Properties or the Loan Parties, (ii) any agreement between any Loan Party and any Affiliate of any Relevant Party and (iii) any brokerage, leasing, cleaning, maintenance, service or other contract or agreement of any kind (other than Leases) relating to the Properties, in each case involving payment or expense of more than One Million and No/100 Dollars ($1,000,000) during any twelve (12) month period, unless cancelable on thirty (30) days or less notice without requiring payment of termination fees or payments of any kind.

  • Group contract means a contract for health care services which by its terms limits eligibility to members of a specified group. The group contract may include coverage for dependents.
