  • Except as set forth in Section 4.18 of the Disclosure Schedule, since the date of the Acquisition Balance Sheet, none of the Material Customers or Material Vendors have delivered to the Company any written notice which (a) in the case of any Material Customer, materially adversely changed its payment or pricing terms or its current agreements, programs or commitments with the Company or (b) in the case of any Material Vendor, materially decreased its commitment to the Company.
