Maximum Payment Amount definition

Maximum Payment Amount means a monetary amount that is approximately equal to the tax the Service could collect upon plan disqualification and is the sum for the open taxable years of the:
Maximum Payment Amount means an amount equal to $0.75 per CVR, payable in cash.
Maximum Payment Amount means an amount equal to (1) the greater of (a) $50,000,000 and (b) an amount equal to (x) $50,000,000 plus (y) 50% of Consolidated Net Income in each fiscal quarter beginning with the fiscal quarter ending June 30, 2007 plus (2) the net cash proceeds received by the Parent or the Borrower since the Restatement Effective Date from the exercise of stock options issued to directors, officers and employees of the Parent, the Borrower or the Borrower’s Subsidiaries, minus (3) the Distributions, or any portion of a Distribution, made since June 30, 2007 pursuant to Section 6.10(iv)(b) which Distributions (or portion thereof) results in the Leverage Ratio exceeding, or are otherwise made at a time when the Leverage Ratio exceeds, in each case calculated on a pro forma basis based on the Parent’s most recent financial statements delivered pursuant to Section 6.1 and giving effect to any Permitted Acquisition since the date of such financial statements, such Distributions (or portion thereof) and any Indebtedness incurred in connection therewith, all in accordance with the terms of this Agreement, 2.75 to 1.00.

Maximum Payment Amount means, in any fiscal quarter, an amount equal to the greater of (i) 105% of the amount of cash dividends issued by USI in USI’s immediately preceding fiscal quarter and (b) 20% of USI’s Consolidated Net Income (if positive) for the immediately preceding fiscal quarter.

Notwithstanding the foregoing, in no event shall the Maximum Payment Amount under this Agreement be less than the corresponding maximum payment amount under the Credit Agreement.
Maximum Payment Amount means, with respect to each RSU, a dollar amount determined by the Committee in its sole discretion; provided, however, that the Committee may, in its sole discretion, determine whether or not to establish a Maximum Payment Amount with respect to any particular RSU. The Maximum Payment Amount, if any, with respect to an outstanding RSU shall be subject to appropriate adjustment by the Committee for any stock splits, stock dividends, reverse stock splits, special dividends or other similar matters relating to Company Stock occurring after the date of grant of such Award.
