Maximum Secured Amount definition

Maximum Secured Amount means 3.75 times the Trailing Cash Flow Amount, or, if greater and (i) following a Fall Away Event or (ii) during a period in which covenants do not apply as a result of the occurrence of the event described in the second paragraph of Section 4.21 of this Indenture, 15% of the Company’s Consolidated Net Tangible Assets.

Maximum Secured Amount means at any time (i) if EDBS at such time has a rating or has received in writing an indicative rating on the 1999 EDBS Notes or the EDBS Exchange Notes of both "Ba3" from Moody's and "BB-" from S&P, an amount equal to the greater of (x) the product of 1.25 times the Trailing Cash Flow Amount and (y) $500 million and (ii) in the event that EDBS does not have both of such ratings or indicative ratings at such time, $500 million.
