Maximum Stock Amount definition

Maximum Stock Amount means (a) 25% of the product of (i) the Exchange Ratio and (ii) the number of issued and outstanding Company Shares immediately prior to the Effective Time (other than Excluded Shares), (b) rounded down to the nearest whole number.

Maximum Stock Amount means the lowest whole number of shares of Acquiror Stock which, if multiplied by the Average Closing Price, results in a dollar amount equal to 70 percent of the Total Consideration.

Maximum Stock Amount means a number of Parent Shares equal to (i) the Mixed Consideration Exchange Ratio multiplied by (ii) the aggregate number of shares of Company Capital Stock issued and outstanding as of the date that is ten (10) Business Days prior to the Closing Date (other than Company Owned Shares and Dissenting Company Shares).

• The number of shares of UCU Common Stock to be issued to holders of Company Common Stock shall not, when added to the number of shares of UCU Common Stock initially issuable pursuant to Sections 6.12 and 6.13, exceed 19.9% of the total number of shares of UCU Common Stock issued and outstanding immediately preceding the Effective Time (the "Maximum Stock Amount").

More Definitions of Maximum Stock Amount

Maximum Stock Amount means a number of shares of Parent Common Stock equal to the quotient of (i) the higher of (A) $9.8 million (representing 20% of $49 million) and (B) $9.8 million as increased to give effect to any Elections made pursuant to Section 3.2, divided by (ii) the Parent Trading Price.
