  • Development Data shall be also shared with UTMDACC and the Board as may be required pursuant to each of the MD Xxxxxxxx License Agreements.

  • Should MBI and WPD agree that an Additional Patent covering an invention in the Sublicensed Territory shall be filed, then MBI, at all times subject to the terms of the applicable MD Xxxxxxxx License Agreements, will prepare and file appropriate patent applications covering the invention so identified.

  • Each of the Minimum Annual Royalties shall be due and payable pursuant to Section 4.1(e) of the applicable MD Xxxxxxxx License Agreement, under the same terms and conditions set forth in the applicable MD Xxxxxxxx License Agreement.

  • No more than once (1) per Calendar Year, the JDC or MBI may inspect the books and records of WPD that support Commercially Reasonable Development Efforts claimed by WPD, unless otherwise necessary for MBI to comply with its reporting obligations pursuant to any of the MD Xxxxxxxx License Agreements.

  • Notwithstanding the foregoing, to the extent MBI’s obligation to pay a Minimum Annual Royalty pursuant to the applicable MD Xxxxxxxx License Agreement ceases, WPD’s obligation hereunder shall cease.

  • For purposes of clarity only, (i) ALI shall not be responsible for any part of the Annual Maintenance Fee, as that term may be defined in the MD Xxxxxxxx License Agreements, and (ii) ALI shall not be responsible for any other costs specified under Article VI of each of the MD Xxxxxxxx License Agreements unless such costs are specifically assigned to it under the terms of this Agreement.

  • Sxxxxxxx-Xxxxx means the Sxxxxxxx-Xxxxx Act of 2002.

  • Xxxxxxxx Xxxx means the type of charge that a xxxxxxx has on somebody else’s goods when he does work on the goods. The xxxxxxx may keep the goods until he is paid for the work and if he is not paid he may sell them. A mechanic will have a xxxxxxx’x xxxx on your car if he does work on it at his garage. Any expression not described or defined in this agreement shall have the meaning given to it in the Credit Contracts and Consumer Finance Act 2003 unless the context requires otherwise. Unless the context prevents it, the singular shall include the plural and vice versa and one gender includes others to the effect that, for example, “he” includes “they”, “she” and “it”.
