Merck Benefit Plan definition

Merck Benefit Plan means a Benefit Plan sponsored by, maintained by, or contributed to by the Merck Group.
Merck Benefit Plan means each Benefit Plan (other than Merck Employee Agreements) which is now or previously has been sponsored, maintained, contributed to, or required to be contributed to, or with respect to which any withdrawal liability (within the meaning of Section 4201 of ERISA) has been incurred, by Merck, any of its Subsidiaries or any Merck ERISA Affiliate for the benefit of any Merck Employee, and pursuant to which Merck, any of its Subsidiaries or any Merck ERISA Affiliate has or may have any liability, contingent or otherwise.
Merck Benefit Plan means a Benefit Plan sponsored by, maintained by, or contributed to by the Merck Group. “Merck Board” means the Merck board of directors.

Examples of Merck Benefit Plan in a sentence

  • During this period, benefits payable to Transferred Non-U.S. Employees shall be paid from the Non-U.S. Merck Benefit Plan.

  • Except as provided in this Agreement, the Distribution and the transfer of any Employee’s employment to the Organon Group shall not cause a distribution from or payment of benefits under any Merck Benefit Plan.

  • As described in Article IV, or as otherwise mutually agreed upon by the Parties from time to time, the Organon Group shall, or shall cause the relevant Core Non-U.S. Organon Benefit Plan to, assume the Liabilities of the corresponding Non-U.S. Merck Benefit Plan with respect to all benefits accrued under that Non-U.S. Merck Benefit Plan by Non-U.S. Organon Employees who are Transferred Employees.

  • Notwithstanding the foregoing, to the extent a Non-U.S. Merck Benefit Plan is not required to be funded by applicable Law or is not voluntarily funded, there shall be no transfer of Assets by the Non-U.S. Merck Benefit Plan or by the Merck Group in respect thereof.

Related to Merck Benefit Plan

  • Health benefit plan means a policy, contract, certificate or agreement offered or issued by a health carrier to provide, deliver, arrange for, pay for or reimburse any of the costs of health care services.

  • Company Benefit Plan has the meaning specified in Section 4.13(a).

  • Parent Benefit Plan means an Employee Benefit Plan sponsored, maintained, or contributed to (or required to be contributed to) by Parent or any of its Subsidiaries, or under or with respect to which Parent or any of its Subsidiaries has any current or contingent liability or obligation.
