Merck Products. Merck Products" means pharmaceutical products (including Crixivan(R)), other than injectables and vaccines, that (w) are manufactured by Merck or any of its Subsidiaries, (x) have been approved or recommended by the U.S. Food and Drug Administration, (y) may be dispensed only pursuant to a Prescription under applicable law and (z) are subject to an effective patent granted by the U.S. Patent and Trademark Office.
Merck Products means any “Product” as defined in the Merck Agreement.
Merck Products means all products of the Parties or their respective Subsidiaries as of the Effective Time, other than the Organon Products. “Merck Subsidiary” means any Business Entity that is a Subsidiary of Merck prior to, at or after the Effective Time (other than Organon or anOrganon Subsidiary).

  • Artiva and GCLC agree that, during the Merck Product Term with respect to the GCLC Background IP and Arising GCLC Core IP only, the terms of this Agreement shall modify the licenses and rights granted by GCLC to Artiva solely with respect to the Merck Products under the Master Agreement and the economic and other terms of such licenses and rights as expressly set forth herein.

Merck Products means all products of the Parties or their respective Subsidiaries as of the Effective Time, other than the Organon Products.
Merck Products means initially the Pharmaceutical Products identified on Schedule 10.8 as "Merck Products." The Pharmaceutical Products constituting Merck Products shall be adjusted from time to time after the date of execution of this Restated Agreement in accordance with Section 10.8.
Merck Products means any pharmaceutical or biological preparation which (i) contains a nucleic acid sequence encoding a Target Antigen or Target Antigen Modification or encoding any additional elements that facilitate an immune response to such Target Antigen or Target Antigen Modification; and (ii) is utilized in conjunction with a Genetronics Device, which preparation is either for sale by prescription, over-the-counter or any other method, or for administration to patients in Clinical Trials, or for administration to animals for the purpose of developing such preparation for animal use, for any and all uses in the Field. Each Merck Product containing nucleic acid sequences encoding for the same Target Antigen or unique combination of Target Antigens shall be deemed to be the same Merck Product, regardless of the formulation or other clinically active components contained in such Merck Product. By way of example, a Merck Product containing nucleic acids encoding for both [*] and [*] shall be deemed to be one Merck Product.
Merck Products has the meaning set forth in the Separation and Distribution Agreement.
Merck Products means any and all products incorporating the humanized antibody of Merck or any of its Affiliates to EGFr (including any improvements to such products) which, but for the licenses granted herein, would infringe the Chemotherapy Patent and/or the Radiotherapy Patent.
Merck Products means any product marketed by MERCK or MERCK's designated AFFILIATE in connection with the FIELD.

  • SAP Products means Software, Documentation, SAP Materials, Services, Subscription Services, Cloud Services and Maintenance Services. “SAP SDK” means SAP software development kit that includes tools such as APIs, source code, redistributable files and instructions. “Services” means SAP’s then-current services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Existing Products Tangible Products and intangible licensed Products that exist prior to the commencement of work under the contract. Existing Products must be identified on the Product prior to commencement of work or else will be presumed to be Custom Products.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • New Products means any product which is not an Enhanced Product or 2 Existing Product but which is substantially similar to an Existing Product with respect to design and function and possesses reasonable performance improvements. If Company desires to purchase an Enhanced or New Product(s) from Supplier, Company shall so notify Supplier and provide Supplier the opportunity to manufacture such Enhanced or New Product(s), subject to the following conditions and procedures.

  • Marijuana products means concentrated marijuana products and marijuana products that are comprised of marijuana and other ingredients and are intended for use or consumption, such as, but not limited to, edible products, ointments, and tinctures.

  • Product Technology means the Product Know-How and Product Patents.

  • Cannabis products means cannabis that has undergone a process whereby the plant material has been transformed into a concentrate, including, but not limited to, concentrated cannabis, or an edible or topical product containing cannabis or concentrated cannabis and other ingredients.

  • Tobacco products means cigars, cigarettes, cheroots, stogies, periques, granulated, plug cut, crimp cut, ready rubbed, and other smoking tobacco, snuff, snuff flour, moist snuff, cavendish, ping and twist tobacco, fine-cut and other chewing tobaccos, shorts, refuse scraps, clippings, cuttings and sweepings of tobacco, and other kinds and forms of tobacco, prepared in such manner as to be suitable for chewing or smoking in a pipe or otherwise, or both for chewing and smoking.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Manufacturing Know-How means all information, techniques, inventions, discoveries, improvements, practices, methods, knowledge, skill, experience and other technology, whether or not patentable or copyrightable, and any copyrights based thereon, relating to or necessary or useful for the production, purification, packaging, storage and transportation of Collaboration Products, including without limitation specifications, acceptance criteria, manufacturing batch records, standard operating procedures, engineering plans, installation, operation and process qualification protocols for equipment, validation records, master files submitted to the FDA, process validation reports, environmental monitoring processes, test data including pharmacological, toxicological and clinical test data, cost data and employee training materials.

  • Excluded Products means the items described on the applicable restricted products per country, any other applicable Program Policy, or any other information made available to you by LINIO.

  • BMS means the Company, all related companies, affiliates, subsidiaries, parents, successors, assigns and all organizations acquired by the foregoing.

  • Sublicensees as used herein in either singular or plural shall mean any person or entity other than an AFFILIATED COMPANY to which Company has granted a sublicense under this Agreement.

  • Existing Product means any formulation of the same product category and form sold, supplied, manufactured, or offered for sale in California prior to the following dates, or any subsequently introduced identical formulation:

  • Competing Products means any product or service in existence or under development that competes with any product or service of the Company Group about which the Participant obtained Confidential Information or for which the Participant provided advisory services or had sales, origination, marketing, production, distribution, research or development responsibilities in the last twenty-four (24) months of employment with the Company Group.
