Merger Transaction Costs means costs associated with the Merger ------------------------ Transaction, which costs shall not be materially greater than the amounts disclosed in the Registration Statement (approximately $107,000,000 pre-tax), including, without limitation, the following costs: (i) legal, accounting, financial advisory and other professional fees; (ii) employee severance and change in control costs; (iii) costs of facility consolidations; (iv) governmental filing fees and printing costs related to the Registration Statement; and (v) the makewhole amounts payable in connection with payment of the Notes; provided that such costs may exceed the amount so disclosed so long as the payment or incurrence of such excess costs does not have a Material Adverse Effect.
Merger Transaction Costs means transaction fees and expenses incurred by Borrower in connection with (i) the Merger, not to exceed $21,805,115 in the aggregate, which are paid within twelve (12) months after the Closing Date, and (ii) future mergers in amounts acceptable to Agent.
