Milestone Redemption Price definition

Milestone Redemption Price means an amount equal to U.S. $1 for each Series C Preferred Share to be redeemed (subject to appropriate adjustment for stock splits, stock dividends, reclassifications and similar recapitalizations affecting the Series C Preferred Shares);
Milestone Redemption Price has the meaning set forth in Section 7(a)(i).

  • Such Redemption Notice shall be mailed in a prepaid letter addressed to the Series A Preferred Holder at its address as it appears on the books of the Company or in the event of the address of the Series A Preferred Holder not so appearing then to the last known address of the Series A Preferred Holder and shall set out the applicable Milestone Redemption Price and the Redemption Date for such Redemption.

  • Notwithstanding the deposit of such funds with the Redemption Agent, the Corporation shall remain liable for the payment of the applicable Milestone Redemption Price to the extent such Milestone Redemption Price is not paid as provided herein.

  • To the extent permitted by applicable law, if, after any Conversion, there is a Delisting of Common Shares, then at the option of the Series A Preferred Holder, all Series A Preferred Shares that represent future Milestone Payments that are to become payable under Article 28.7.1 shall thereafter be redeemed by the Company for the applicable Milestone Redemption Price within 10 business days after the occurrence or achievement of the future Milestone.

  • To the extent permitted by applicable law, if, after any Conversion, there is a Delisting of Common Shares, then at the option of the Series B Preferred Holder, all Series B Preferred Shares that represent future Milestone Payments that are to become payable under Article 29.7.1 shall thereafter be redeemed by the Company for the applicable Milestone Redemption Price within 10 business days after the occurrence or achievement of the future Milestone.

  • To the extent permitted by applicable law, if, after any Conversion, there is a Delisting of Common Shares, then at the option of the Series A Preferred Holder, all Series A Preferred Shares that represent future Milestone Payments that are to become payable under Article shall thereafter be redeemed by the Company for the applicable Milestone Redemption Price within 10 business days after the occurrence or achievement of the future Milestone.

Related to Milestone Redemption Price

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Note Redemption Price means, for the Redemption Date, an amount equal to the sum of:

  • Series A Redemption Price has the meaning set forth in Section 16.6(a).

  • Optional Redemption Price shall have the meaning set forth in Section 3.2.

  • Make-Whole Redemption Price means, in respect of each Bond, (a) the principal amount of such Bond or, if this is higher, (b) the sum of the then present values of the remaining scheduled payments of principal and interest discounted to the Optional Redemption Date on an annual basis (based on the actual number of days elapsed divided by 365 or (in the case of a leap year) by 366) at the Reference Dealer Rate (as defined below) plus 0.15 per cent., in each case as determined by the Determination Agent;

  • Special Event Redemption Price has the meaning specified in Section 11.2.

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Call and Put Redemption Amount means GBP 1 per Preference Share.

  • Indenture Redemption Price has the meaning specified in Section 4.2(c).

  • Final Preference Share Redemption Amount means, subject to the provisions of the Articles and the Conditions, in respect of each Preference Share, an amount expressed in the Settlement Currency determined by the Calculation Agent equal to the Notional Amount multiplied by:

  • Special Redemption Price has the meaning set forth in paragraph 4(a) of Annex I.

  • Minimum Redemption Amount has the meaning specified in the applicable Final Terms;

  • Final Preference Share Redemption Date means the date that falls twenty Business Days following the Valuation Date on which the Calculation Agent has determined the Final Preference Share Redemption Amount or, if earlier, the first Auto-Call Valuation Date on which an Auto-Call Trigger Event has occurred.

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.

  • Series A Redemption Notice has the meaning set forth in Section 16.6(b).

  • Make-Whole Redemption Amount means the sum of:

  • Mandatory Redemption Price means $25,000 per share of AMPS plus an amount equal to accumulated but unpaid dividends (whether or not earned or declared) to the date fixed for redemption and excluding Additional Dividends.

  • Early Preference Share Redemption Amount means, subject to the provisions of the Articles and the Conditions, in respect of each Preference Share, an amount expressed in the Settlement Currency calculated by the Calculation Agent as the fair market value (calculated without taking into account the creditworthiness of the Company) of a Preference Share as of the Early Preference Share Valuation Date taking into account such factor(s) as the Calculation Agent determines appropriate, including, but not limited to, the relevant Early Preference Share Redemption Event after deducting any Associated Costs (to the extent not already reflected in such fair market value).

  • Minimum Redemption means, in relation to the Euro Non-RDR ‘Retail’ Unhedged Distribution Shares, a minimum redemption of €250 or such lesser amount as may be agreed by the Directors;

  • Monthly Redemption Amount means, as to a Monthly Redemption, $______, plus accrued but unpaid interest, liquidated damages and any other amounts then owing to the Holder in respect of this Debenture.

  • Final Redemption Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Early Preference Share Redemption Notice means a notice of early redemption of some or all of the Preference Shares given by or on behalf of the Company in accordance with Condition 6 (Notices).
