The Covered Bond Guarantor can predict neither when nor where such regional economic declines may occur nor to what extent or for how long such conditions may continue but if the timing and payment of the Mortgage Loans in the Mortgage Loan Portfolio is adversely affected as described above, the ability of the Covered Bond Guarantor to make payments under the Covered Bond Guarantee could be reduced or delayed.
Any deterioration in the quality of the Mortgage Loan Portfolio could have an adverse effect on the Covered Bond Guarantor's ability to make payment under the Covered Bond Guarantee.

The prior pledge of an Eligible Loan that is a part of the Existing Mortgage Loan Portfolio pursuant to the Warehousing Credit Agreement shall not violate any covenant, representation or warranty under this Agreement regarding a prior pledge of any Eligible Loan.

If any Mortgage Loans have been originated under revised Servicing Procedures and the Mortgage Loans are then sold to the Covered Bond Guarantor in accordance with and pursuant to the terms of the Mortgage Sale Agreement, the characteristics of the Mortgage Loan Portfolio could at such time change.
