  • The following three options (or a combination thereof) are available for election by MTN Zakhele Shareholders in consideration for the disposal of their MTN Zakhele Shares to MTN Zakhele (subject to rounding and certain minimum election thresholds): Option 1 • A cash amount equal to the proceeds (net of all realisation costs and Securities Transfer Taxes (“STT”)) on disposal of their MTN Shares comprising their proportionate interest in MTN Zakhele's Net Assets.

  • MTN Zakhele will be liable for capital gains tax on the MTN Shares held by it and disposed of in the manner described in the MTN Zakhele Unwind and will also be liable for dividends withholding tax (where applicable) in respect of the MTN Shares distributed to those MTN Zakhele Shareholders who elect to receive cash or MTN Shares.

  • Further, it is assumed that all equity is raised from the MTN Zakhele Futhi Public Offer and that none of the MTN Zakhele Shareholders elect the MTN Zakhele Re-investment option.

  • It may be scaled down should public subscriptions under the MTN Zakhele Futhi Public Offer and/or the number of MTN Zakhele Shares in respect of which MTN Zakhele Shareholders elect the Re-investment Option not be sufficient.

  • If MTN Zakhele Shareholders do not approve the resolutions required to give effect to the MTN Zakhele Unwinding Scheme (or, for any other reason, the MTN Zakhele Unwinding Scheme fails to become operative), neither the MTN Zakhele Integrated Unwind nor the MTN Zakhele Standalone Unwind will proceed and none of the above unwind options will be available to MTN Zakhele Shareholders.

  • In terms of the MTN Zakhele Futhi Offer, which closed at 16h00 on Friday, 28 October 2016, an invitation was made (i) to the black public (individuals and groups) to subscribe for MTN Zakhele Futhi Ordinary Shares; and (ii) to qualifying MTN Zakhele Shareholders to re-invest all or a portion of their investment in MTN Zakhele into MTN Zakhele Futhi Ordinary Shares in accordance with the terms of the MTN Zakhele Unwinding Scheme.

  • The Re-investment Option effectively allows MTN Zakhele Shareholders to elect to re-invest the “proceeds” received from the sale of their MTN Zakhele Shares to MTN Zakhele in MTN Zakhele Futhi Ordinary Shares.

  • The number of MTN Shares repurchased for the MTN Loan Claim (“Repurchase Loan Shares”) will depend on the extent to which MTN Zakhele Shareholders elect the Re-investment Option, and on the levels of allocations made in respect thereof.

  • Those MTN Zakhele Shareholders that elect (or are deemed to have elected) the cash consideration (i.e. Option 1) will have their proportionate MTN Shares to which they are entitled sold for and on their behalf (and at their risk) through a market sales process at the then achievable market price for such shares and will be paid the cash proceeds (net of all realisation costs and expenses) realised from such sale.

  • Existing Shareholders means the officers, directors and shareholders of the Company prior to the Offering; (c) “Initial Ordinary Shares” shall mean all of the Ordinary Shares owned by an Existing Shareholder prior to the Offering (and shall include any Ordinary Shares issued as dividends with respect to such shares); (d) “Public Shareholders” shall mean the holders of securities issued in the Offering; (e) “Trust Account” shall mean the trust account established for the benefit of the Public Shareholders into which a portion of the net proceeds of the Offering will be deposited; and (f) the “Extended Period” shall mean the additional 12-month period to approve a Business Combination as more specifically described in the Registration Statement.

  • Target Shareholders means the holders of Target Shares;

  • Company Shareholders means holders of Company Shares.

  • Scheme Shareholders means the registered holders of Scheme Shares at the relevant time.

  • Overseas Shareholders holders of Scheme Shares who are resident in, ordinarily resident in, or citizens of, jurisdictions outside the United Kingdom;

  • Controlling Shareholders means controlling shareholders of the Company, as such term is defined in the Ordinance.

  • Locked-Up Shareholders means the Persons who are party to the Lock-Up Agreements.

  • Majority Shareholders means Xxxxxxx X. Xxx and Xxxxxxx X. Xxxxxxx.

  • Selling Shareholders has the meaning given to such term in the Preamble to this Agreement;

  • Independent Shareholders means holders of outstanding Voting Shares, excluding (i) any Acquiring Person, (ii) any Offeror, (iii) any Affiliate or Associate of any Acquiring Person or Offeror, (iv) any Person acting jointly or in concert with any Acquiring Person or Offeror, and (v) any employee benefit plan, share purchase plan, deferred profit sharing plan or trust for the benefit of employees of the Corporation or a wholly-owned Subsidiary of the Corporation (unless the beneficiaries of such plan or trust direct the manner in which such Voting Shares are to be voted or direct whether the Voting Shares are to be deposited or tendered to a Take-Over Bid, in which case such plan or trust shall be considered to be an Independent Shareholder).

  • Majority Shareholder means a holder of more than fifty percent (50%) of the outstanding stock of the Company, or if no person holds more than fifty percent (50%) of the outstanding stock of the Company, the holder of a plurality of the outstanding stock of the Company.

  • Existing Stockholders means the stockholders of the Corporation immediately prior to the IPO as listed on Schedule A (including the Existing Stockholders Representative in its capacity as an Existing Stockholder) together with any Permitted Assignees.
