You and Company shall mutually designate the following "Audiovisual Production Elements": Musical Compositions, personnel (including producer and director), storyboard, script, locations and production dates.
For the purposes of this Agreement, a “competitor” of Genepool shall include, media companies (including, but not limited to, any Label that is in the business of recording, licensing, exploiting, distributing or facilitating the distribution of musical sound recordings or Musical Compositions).

Each Committed Album shall embody no fewer than thirty five (35) minutes in playing time and containing no fewer than ten (10) Musical Compositions unless Company otherwise agrees to the contrary in writing.
GIBM and DeLonge hereby agree to use commercially reasonable efforts to have Third Party Publishers grant TTS AAS licenses in respect of Musical Compositions for Licensed Products on reasonable commercial terms, provided, it shall not be a breach of this Agreement if any DeLonge Party is unable to grant or secure a grant of such licenses.

The term "United States Controlled Composition Mechanical Rate" shall mean an amount equal to seventy-five percent (75%) of the "United States Mechanical Rate." The term "United States Mechanical Rate" shall mean an amount equal to the minimum statutory royalty rate (without regard to playing time) provided in the United States Copyright Act for the reproduction of Musical Compositions as of the "Determination Date" (defined below).

To the Knowledge of the Company, as of the date of this Agreement, neither the Company nor any Subsidiary has any material trade secrets and the only material copyright rights owned by Company or Subsidiary are Owned Recordings and Owned Musical Compositions.
