Named Entity Insureds definition

Named Entity Insureds means the Named Entity, Subsidiaries, Property Manager and Insured Persons covered under under any Coverage Part designated as “Included” in the Declarations.

  • The Named Entity Insureds shall execute all papers necessary to secure such rights, including executing any documents necessary to enable the Insurer effectively to bring suit in their name, and shall not act or fail to act in any way that impairs the Insurer's rights of subrogation or recovery.

  • The Named Entity Insureds agree that this Policy, consisting of the Application, the Coverage Parts, and all endorsements listed in the Declarations, constitute the entire contract existing between them and the Insurer or any of its agents relating to this insurance.

  • In no event shall the Named Entity Insureds be entitled to recoup from recoveries any amount to satisfy any retention until after all amounts which the Insurer is required to pay or pays under any applicable Coverage Part are reimbursed to the Insurer.

  • The Named Entity Insureds will, upon request of the Insurer, submit to an examination under oath.

  • The rules of the American Arbitration Association shall apply with respect to the selection of the arbitration panel, which shall consist of one arbitrator selected by the Named Entity Insureds, one arbitrator selected by the Insurer, and a third independent arbitrator selected by the first two arbitrators.

  • If the Named Entity Insureds, other than any Property Manager unreasonably refuse to consent to a settlement or compromise recommended by the Insurer, and acceptable to the claimant, then the applicable limit of liability under this Policy shall be reduced to the amount for which the Liability Claim could have been settled plus all Defense Costs incurred up to the time the Insurer made its recommendation.

  • The Named Entity Insureds will also notify the police if they have reason to believe that any loss involves a violation of law.

  • To the extent it pays any Loss, the Insurer shall be subrogated to all the Named Entity Insureds' rights of recovery therefor.

  • The Named Entity Insureds shall furnish the Insurer with copies of reports, investigations, pleadings, and all related papers, and such other information, assistance and cooperation as the Insurer may reasonably request.

Related to Named Entity Insureds

  • First party insurance means an insurance policy or contract in which the insurer agrees to pay a claim submitted to it by the insured for the insured's losses.

  • Insureds Premises Not An "Insured Location" "Bodily injury" or "property damage" arising out of a premises:

  • D&O Liability Insurance Policies means all insurance policies (including any “tail policy”) of any of the Debtors for liability of any current or former directors, managers, officers, and members.

  • Professional liability insurance means insurance against legal liability incident to the practice of a profession and provision of a professional service.

  • Liability Insurance means compulsory professional liability errors and omissions insurance required by a governing body;

  • Fidelity Insurance means insurance coverage with respect to employee errors, omissions, dishonesty, forgery, theft, disappearance and destruction, robbery and safe burglary, property (other than money and securities) and computer fraud in an aggregate amount acceptable to Seller’s regulators.

  • Property Insurance is defined in Section 6.10(a).

  • Company Insurance Policies has the meaning set forth in Section 4.15.

  • General Liability Insurance Subcontractor shall carry minimum primary General Liability Insurance for the following amounts:

  • general insurance business means any class of insurance business other than long-term insurance business;

  • Alien insurer means an insurer domiciled outside the United States.

  • Primary Insurance Policy Each policy of primary mortgage guaranty insurance or any replacement policy therefor with respect to any Mortgage Loan.

  • Individual health insurance coverage means health insurance coverage offered to individuals in the

  • Individual generation site means the contiguous site at or on which one or more hazardous wastes are generated. An individual generation site, such as a large manufacturing plant, may have one or more sources of hazardous waste but is considered a single or individual generation site if the site or property is contiguous.

  • High Deductible Health Plan means a Health Plan as defined by 26 USC § 223(c)(2)(A) that also is a Qualified Health Plan.

  • Special Primary Insurance Policy Any Primary Insurance Policy covering a Mortgage Loan the premium of which is payable by the Trustee pursuant to Section 4.04(a), if so identified in the Mortgage Loan Schedule. There are no Special Primary Insurance Policies with respect to any of the Mortgage Loans.

  • Travel Insurance means coverage for personal risks incidental to planned travel, including one or more of the following:

  • Sum Insured means the sum as specified in the Schedule to this Policy against the name of Insured / each Insured Person, which sum represents the Company's maximum liability for any or all claims under this Policy during the Policy period for the respective benefit(s) against which the sum is mentioned in the Schedule to this Policy.

  • Named Insured means the person or organization named in Item 1 of the Declarations.

  • Additional Insureds has the meaning specified in Section 7.06(a) of the Indenture.

  • Member insurer means any person who:

  • Controlled insurer means a licensed insurer that is either directly or indirectly

  • Co-insurance means the percentage of the usual, reasonable, customary, and fair market value expense that a covered person must pay.

  • Bodily harm means physical pain or injury, illness, or any impairment of physical condition.

  • R&W Insurer means AIG Specialty Insurance Company.

  • Lot coverage means the portion or percentage of the area of a lot upon which buildings are erected.
