National Trading Market definition

National Trading Market means the following markets or exchanges on which the Common Stock is listed or quoted for trading on the date in question: the Nasdaq Capital Market, the Nasdaq Global Market, the Nasdaq Global Select Market, the New York Stock Exchange, the NYSE MKT, or other national securities exchange excluding any tier of the OTC Markets Group, Inc. and Pinksheets.

  • The Company hereby agrees to use best efforts to maintain the listing or quotation of the Common Stock on the Principal Trading Market on which it is currently listed, and following the Closing, the Company shall use its best efforts to, as promptly as practicable, apply to list or quote all of the Shares on a National Trading Market and promptly secure the listing of all of the Shares on such National Trading Market.

  • The Company further agrees, when the Company applies to have the Common Stock traded or quoted on a National Trading Market, it will then include in such application all of the Shares, and will take such other action as is necessary to cause all of the Shares to be listed or quoted on such National Trading Market as promptly as possible.

  • The Company will then take all action reasonably necessary to continue the listing or quotation and trading of its Common Stock on such National Trading Market and will comply in all respects with the Company’s reporting, filing and other obligations under the bylaws or rules of such National Trading Market.

  • The adjustment rights of this Section 3(e) shall terminate in full upon the listing of the Company’s Common Stock on a National Trading Market.

  • The adjustment rights of this Section 3(f) shall terminate in full upon the listing of the Company’s Common Stock on a National Trading Market.

  • Principal Trading Market means the national securities exchange or other trading market on which the Common Stock is primarily listed on and quoted for trading, which, as of the Original Issue Date, shall be the Nasdaq Global Select Market.

  • Trading Market means any of the following markets or exchanges on which the Common Stock is listed or quoted for trading on the date in question: the NYSE American, the Nasdaq Capital Market, the Nasdaq Global Market, the Nasdaq Global Select Market or the New York Stock Exchange (or any successors to any of the foregoing).
