NAV of the Company definition

NAV of the Company means (a) the aggregate value of the assets of the Company, less (b) the aggregate value of the liabilities of the Company (the Preferred Shares will not be treated as liabilities for these purposes), including any distributions declared and not paid that are payable to Shareholders on or before such date, less (c) the stated capital of the Class J Shares ($100) as described in the current annual information form of the Company.

Examples of NAV of the Company in a sentence

• The NAV of the Company is equal to the value of its total assets less its total liabilities.

• The Administrator is paid fees based on the NAV of the Company, payable quarterly in arrears.

• The issued and fully paid redeemable participating share capital is at all times equal to the NAV of the Company.

• The fee is at a rate of 2 basis points of the NAV of the Company for the first £500 million of NAV and a rate of 1.5 basis points for any NAV above £500 million.

• Under the terms of this agreement Shore Capital will be paid an annual fee of 2 per cent of the Net Asset Value payable quarterly in arrears calculated on the relevant quarter end NAV of the Company.

• This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of Ohio without regard to its conflicts of laws rules.

• As illustrated under Scenario C in the tables above, such purchase of Shares will have the effect of reducing the working capital and NAV of the Company and of the Group by the dollar value of the Shares purchased.
