The Company owns, possesses or can obtain on commercially reasonable terms sufficient legal rights to all Intellectual Property necessary to the Business of the Company as presently conducted without any conflict with, or infringement or misappropriation, of the rights of others, the lack of which could reasonably be expected to have a Material Adverse Effect.
Executive acknowledges and agrees that a Competing Business of the Company also includes any business or activity in which the Company is engaged, in research and development, or is demonstrably planning to conduct, each as of the Termination Date.
