NEGATIVELY ALTERED definition

NEGATIVELY ALTERED means if any of the following shall occur without Employee's express written consent: (i) the assignment to Employee of any duties materially inconsistent with Employee's position, duties, responsibilities and status with the Company (other than promotions) or a material adverse change in Employee to move his residence more than 100 miles; or (iii) the failure by the Company to continue to provide Employee with employee benefits that are comparable to employees of a similar status. NONCOMPETITION PERIOD- shall mean the period of time consisting of the term of Employee's employment with the Company and a period of twelve (12) months following the termination of Employee's employment hereunder for any reason by the Company or by Employee. SERVICES- shall have the meaning described in Section 2. TERRITORY- shall mean the United States, Canada and in any other country where the Company has generated revenue.

  • Substantially all means a sale, lease, exchange or other transfer involving seventy percent (70%) or more of the fair market value of the assets of such entity; or

  • Permitted Businesses means the business of owning, leasing and managing gasoline stations, convenience store properties and other retail real properties (including, for the avoidance of doubt, quick service or other casual restaurants and auto service and auto parts stores), and any other single-tenant net lease business, and business activities reasonably related to the foregoing (including the creation or acquisition of any interest in any Subsidiary (or entity that following such creation or acquisition would be a Subsidiary) for the purpose of conducting the foregoing activities), in each case that are permitted for real estate investment trusts under the Code.

  • Reasonably Available Control Technology (RACT) means the lowest emission limit that a particular source is capable of meeting by the application of control technology that is reasonably available considering technological and economic feasibility. It may require technology that has been applied to similar, but not necessarily identical source categories.

  • Recapitalization means any stock dividend, stock split, combination of shares, reorganization, recapitalization, reclassification or other similar event.

  • Small disadvantaged business concern , as used in this clause, means a small business concern that (1) is at least 51 percent unconditionally owned by one or more individuals who are both socially and economically disadvantaged, or a publicly owned business having at least 51 percent of its stock unconditionally owned by one or more socially and economically disadvantaged individuals, and (2) has its management and daily business controlled by one or more such individuals. This term also means a small business concern that is at least 51 percent unconditionally owned by an economically disadvantaged Indian tribe or Native Hawaiian Organization, or a publicly owned business having at least 51 percent of its stock unconditionally owned by one or more of these entities, which has its management and daily business controlled by members of an economically disadvantaged Indian tribe or Native Hawaiian Organization, and which meets the requirements of 13 CFR 124.

  • Business Combination Date means the date upon which a Business Combination is consummated.

  • Dispose of has the meaning ascribed to that expression by section 21F(8) of the Control Act.   • Alteration Threshold means, with respect to each Individual Property, five percent (5%) of the original Allocated Loan Amount (as defined in the Mortgage Loan Agreement) of such Individual Property.

  • Organic Waste means such type of Solid Waste that can be degraded by micro- organisms, but shall not include Excluded Wastes;

  • Clean-Up Period has the meaning specified in Section 8.02(b).

  • Merger Valuation Period for any Merger Event means the five consecutive Trading Day period immediately preceding, but excluding, the effective date for such Merger Event.

  • Organic Materials means, for the purposes of Section 9.4 of the Act, any chemical compound of carbon, including diluents and thinners which are liquids at standard conditions and which are used as dissolvers, viscosity reducers or cleaning agents, including polychlorinated dibenzo-p-dioxins, polychlorinated dibenzofurans and polynuclear aromatic hydrocarbons but excluding methane, carbon monoxide, carbon dioxide, carbonic acid, metallic carbonic acid, metallic carbide, metallic carbonates, and ammonium carbonate are not organic materials.

  • Disabling Conduct shall have the meaning designated in Section 8.4 hereof.

  • Business concern means any corporation, company, limited liability company, partnership, joint venture, trust, unincorporated association or any other form of association.
