Net Cost of Goods Sold definition

Net Cost of Goods Sold means net sales and net cost of goods sold, respectively, of SSC and its affiliates from sales of Products, computed in a manner consistent with the previously established sales practices of SSC and its independent representatives.
Net Cost of Goods Sold means the gross material cost, manufacturing costs, manufacturing overhead, transportation, freight, postage and insurance of the LICENSEE for the manufacture and transport of End Products shipped to customers, to the extent that such amounts are not charged to the customers less (a) all trade, quantity, and cash discounts allowed; (b) taxes duties, tariffs, or other governmental charges imposed on such End Products, including but not limited to value added taxes or other governmental charges otherwise measured by the amount paid for the End Products, but specifically excluding taxes based on the net income of the seller. Net Cost of Goods Sold means the additive value of all ingredients, including manufacturing processing and analytical testing as applicable, required to supply and manufacture each batch of End Products to be produced by the LICENSEE regardless of whether said ingredients, manufacturing and testing is managed by LICENSEE, LICENSOR, or third parties.
