Each such Net Earnings Certificate shall contain a statement of the signers of such Net Earnings Certificate that, in the opinion of such signers, the allocations made in the calculations of “Adjusted Net Earnings of the Company” as set forth in such Net Earnings Certificate are in accordance with the requirements of this final paragraph of this Section 1.03.
Upon compliance by the Company with the provisions of Section 2.01(B), the Company may execute and the Trustee shall from time to time authenticate and deliver additional Bonds hereunder upon deposit with the Trustee of cash equal to the amount of the principal of the Bonds so requested to be authenticated and delivered and upon receipt by the Trustee of a Net Earnings Certificate as defined in clause (1) of Section 2.02(B).
Notwithstanding Section 1.04 or any other provision of the Mortgage Indenture, the Net Earnings Certificate delivered in connection with the initial issuance of Bonds on the Closing Date shall be made and signed by an Accountant if it is not signed by an independent public accountant.
The remaining Bonds shall be reserved by the Trustee and shall from time to time thereafter in whole or in part be delivered upon receipt by the Trustee of a Net Earnings Certificate in the form required by the provisions of the section under which said Bonds were authenticated, evidencing net earnings sufficient to entitle the Company to the authentication and delivery of the Bonds then applied for.
Any Net Earnings Certificate executed on behalf of such Successor Corporation shall, however, not include the earnings of any properties of such Successor Corporation excepted from the Lien of this Indenture under the provisions of this Section 9.03, and such earnings shall not be deemed to be earnings of such Successor Corporation for any purposes of this Indenture.
