Net new revenue means revenue, net of pass through advertising expenses, attributable to new clients referred by Sellers to Buyer after the Closing Date that are received by the Company during the first 24 months from the initial contract date with any such new referred clients for all initial contracts with such new referred clients that are entered into by the Company within five (5) years of the Closing Date. For the avoidance of doubt, any and all revenue received by the Company after the first 24 months of the initial contract date with any new referred clients shall be disregarded and shall not be deemed to be Net New Revenue.
