New Guaranties definition

New Guaranties means the New Candlewood Guaranty and the New Staybridge Guaranty, collectively.
New Guaranties means collectively the secured guaranties of the Reorganized Subsidiary Debtors (in existence after giving effect to the Restructuring Transactions) and the other Restricted Subsidiaries to be entered into as of the Effective Date to guaranty and secure the New Senior Secured Term Debt and the New Secured PIK Debt.
New Guaranties means those guaranties to be executed by Prime, for the benefit of the ENN Entities, with respect to each of the Management Agreements and in substantially the same form as attached hereto as Exhibit M.

Examples of New Guaranties in a sentence

  • Notwithstanding the foregoing, the termination of the Guarantor’s obligations under this Agreement shall not diminish, impair or otherwise affect the Guarantor’s obligations under the New Guaranties.

  • NEW LETTER OF CREDIT REIMBURSEMENT AGREEMENT AND NEW GUARANTIES On the Effective Date, the Reorganized Debtor shall enter into New Letter of Credit Reimbursement Agreements with issuers of Existing Letters of Credit and New Guaranties with holders of Existing Guaranties.

  • On the Effective Date, the Reorganized Subsidiary Debtors (in existence after giving effect to the Restructuring Transactions) and the other Restricted Subsidiaries shall enter into the New Guaranties and related security documents.

  • It contains three conditions to the consent of the Bank to the transfer of the Property, including the condition that “Assignor remains liable personally under the terms of the Loan as a Guarantor pursuant to the Guaranty executed by the Assignor in connection with the Loan.” In addition, the agreement contains 11 “conditions precedent to the Bank’s approval of the assumption of the Loan by Assignee under this Agreement,” (emphasis supplied) including the execution of New Guaranties.

Related to New Guaranties

  • Subsidiary Guaranties means the Domestic Subsidiary Guaranty and each Foreign Subsidiary Guaranty.

  • Note Guaranty means the guaranty of the Notes by a Guarantor pursuant to this Indenture.

  • Subsidiary Guaranty Agreement means each unconditional guaranty agreement executed by the Subsidiary Guarantors in favor of the Administrative Agent for the ratable benefit of the Secured Parties, substantially in the form of Exhibit H, as amended, restated, supplemented or otherwise modified from time to time.

  • Guaranties means the Company Guaranty and the Subsidiary Guaranty.

  • Guaranty Agreements means and includes the Guarantee of the Loan Parties provided for in Section 11, and any other guaranty agreement executed and delivered in order to guarantee the Obligations or any part thereof in form and substance reasonably acceptable to the Administrative Agent.

  • Existing Indentures means (a) the Indenture with respect to the Target Company’s 1.5% Convertible Senior Notes due 2017, dated as of August 25, 2010, by and between the Target Company and The Bank of New York Mellon Trust Company, N.A. and (b) the Indenture with respect to the Target Company’s 0.5% Convertible Senior Notes due 2020, dated as of October 29, 2013, by and between the Target Company and The Bank of New York Mellon Trust Company, N.A. (each as amended, restated, supplemented or otherwise modified from time to time prior to the date hereof).

  • Existing Indenture means the Indenture dated as of June 30, 1998 among General Partner, Prologis and U.S. Bank National Association (as successor in interest to State Street Bank and Trust Company of California, N.A.), as Trustee.

  • Subsidiaries Guaranty shall have the meaning provided in Section 6.10.
