New Inventions definition

New Inventions means all inventions (and any and all Intellectual Property Rights therein), whether patentable or not, invented in the course of performance of activities contemplated by this Agreement.
New Inventions means any invention (i) made by or under the direction of either ▇▇▇▇▇▇ ▇. ▇▇▇▇▇▇▇▇ or ▇▇▇▇▇▇ ▇. ▇▇▇▇▇▇▇▇ (ii) made without use of resources or facilities of UNIVERSITY and/or NCSU or funding of third parties and (iii) that is an improvement or modification to the INVENTIONS.
New Inventions means any new Intellectual Property developed by, or on behalf of, Seller for use in, or incorporation into, the Work under the terms of this Subcontract.

  • UCLB shall procure that UCL, MP and the MP Laboratory shall comply with the terms of this Clause 5 and notify UCLB of all Improvements and New Inventions in order that UCLB shall be able to comply with this Clause 5.

  • CH agrees that it will not license or sublicense any New Inventions or Discoveries to anyone other than Immtech without Immtech's express prior written consent.


More Definitions of New Inventions

New Inventions shall have the meaning set forth in Section 8.1 of this Agreement.
New Inventions means any invention or discovery conceived, reduced to practice, or otherwise discovered or developed, in whole or in part, by Institution, Investigator, Institution Personnel, GOG, Sponsor, or the contractors of any of the foregoing, based on or resulting from performance of the Clinical Trial. As used in this Article VIII, the term “conceived” shall have the same definition of “conception” as set forth in section 2138.04 of the United States Patent and Trademark Office’s Manual of Patent Examining Procedure, Eighth Edition, Latest Revision July 2010.
New Inventions means an invention conceived or reduced to practice by Cerebain or jointly by Cerebain and Licensor which relates to or is based on the subject matter of the Intellectual Property or on work developed under the direction of Licensor, but which is outside the scope of the then-existing Intellectual Property.
New Inventions means any potential new invention disclosed for example through an invention disclosure or a draft manuscript after the Effective Date of this Agreement, which Inventors have an obligation to assign to Licensor that arises from research by the Inventor(s) which is specifically directed to the Subject Technology.
New Inventions means any invention created,, uses discovered or any material, other than a Derivative, produced or isolated by Recipients either alone or jointly with Company in connection with Recipients’’ use of the Technology or Materials.
New Inventions means any TECHNOLOGY pertaining to SARMS conceived, created, developed, designed, invented, or reduced to practice, in whole or in part by OSU researcher Dr. J▇▇▇▇ ▇▇▇▇▇▇ and/or other OSU research staff and students that is not a LICENSED INVENTION under the BRIDGED SARM IIA, and is patentably distinct therefrom and directly results from: (i) research or clinical investigation utilizing any EXISTING INVENTION or IMPROVEMENT INVENTION as defined in the BRIDGED SARM IIA; (ii) research or investigation conducted pursuant to specific National Institutes of Health or other federally-funded projects, which involve collaboration between UT and/or UTRF and OSU; or (iii) non-federally-funded research at OSU that is sponsored by UT or UTRF or any of their respective licensees or sublicensees relating to SARMS. Any other invention will be considered to be a NEW INVENTION subject to this Agreement if OSU and UTRF agree thereto in writing. The parties acknowledge and agree that a NEW INVENTION shall not include TECHNOLOGY, EXISTING INVENTIONS, or IMPROVEMENT INVENTIONS as defined in the BRIDGED SARM IIA.
New Inventions means medical device inventions conceived by Seller, or which Seller is entitled to manufacture or market, which are unrelated to the Trac ACCESS Device. Seller shall provide Buyer with written notice ("Seller's Notice") of its intent to enter into any agreement or other arrangement providing for the sale or disposition of any New Invention. Buyer may exercise the Right of First Refusal by notifying Seller, in writing, within thirty days after Seller's Notice, of Buyer's agreement to purchase such New Invention on terms and conditions of substantially equivalent to such agreement or arrangement.
