No amendment, modification, termination or waiver of any provision of these obligations, or consent to any departure by Sodexho therefrom, shall in any event be effective without the written concurrence of New Marriott.
Any payments by SMS ------------------------------------ in satisfaction of the SMS Allocable Payment Obligation shall be deemed to relieve New Marriott of its obligations under the Indenture to the extent of such payments by SMS.
