New Materials means all Intellectual Property developed, adapted, modified or created by or on behalf of us or you or any of your or our respective Personnel in connection with this Agreement or the performance of the Services, whether before or after the date of this Agreement.
New Materials means all Intellectual Property developed, adapted, modified or created by or on behalf of us or you or any of your or our respective Personnel in connection with this Agreement or the provision of the Services, after the date of this Agreement (and excluding Our Materials). Order means an order placed by you, for the provision of the Services, in accordance with clause 4. Our Materials means all work, models, processes, technologies, strategies, materials, information, documentation, specifications and services (including Intellectual Property), owned, licensed, or developed, adapted or modified, by or on behalf of us or our Personnel before the Commencement Date and/or developed by or on behalf of us or our Personnel independently of this Agreement and/or which form an input into a Deliverable which are not provided to you as part of the Deliverables under this Agreement. Personnel means, in respect of a Party, any of its employees, consultants, suppliers, subcontractors or agents.
New Materials means all Intellectual Property developed, adapted, modified or created by or on behalf of us or you or any of your (or our respective Personnel) in connection with this Agreement or the performance of the Services, whether before or after the date of this Agreement. Our Materials means all work, models, processes, technologies, strategies, materials, information, documentation and services that we may provide to you under this Agreement, and which may contain material which is owned by or licensed to us, and is protected by Australian and international laws. Party means a party to this Agreement from time to time, and Parties means all of them.
Examples of New Materials in a sentence
Any rights to the NT Materials or New Materials not expressly granted in this Agreement are reserved to and for the sole benefit of New Tech Network.
Notwithstanding the foregoing and for avoidance of doubt, neither NT Materials nor New Materials includes District Contributions or Third Party Services.
Except for the limited use rights granted under this Agreement, neither the District nor any User shall acquire any right, title or interest in any NT Materials or New Materials.
To the extent District or any of its employees or agents creates or contributes to any New Materials, then District agrees that in consideration for the Services and License, the District will assign, and will cause its employees and agents to assign, to New Tech Network upon the request of New Tech Network, all right, title and interest of District and/or its employees or agents in any such New Materials.
District will cooperate with, and to the best of its ability, assist New Tech Network (at New Tech Network’s expense) in New Tech Network’s efforts to secure, vest, protect, record, further document or register such assignment and New Tech Network’s rights in any New Materials, including but not limited to executing all papers reasonably desirable or necessary to further document this assignment and vesting of rights in New Tech Network.

New Materials all results, outcomes, conclusions, products, systems, inventions, know-how, experimental methods, processes, data, notes, operating philosophies and procedures, designs, drawings, construction techniques, records, memoranda and other writings, calculations, formula, computer programs, graphics, data in whatever form or format (including all supporting data) and other IP Rights developed during and as a result of the Project (including any manuscripts) and all enhancements, developments or modifications made by Vast Solar (or any of its Affiliates, employees or contractors) or by the Partner (or the Partner’s Personnel or any of the Partner’s employees or sub-contractors) to these things which are not Existing Material.
New Materials means materials developed pursuant to the Development Plan that are not available on the open market from Third Parties.
New Materials has the meaning given in Section 7.3(b) of the Main Body of the Agreement.

Personnel means, in respect of a Party, any of its employees, consultants, suppliers, subcontractors or agents, but in respect of you, does not include us. Premises means any premises the subject of the Services. Receiving Party means the party receiving Confidential Information from the Disclosing Party. Resource/s means the worker that we provide to you to perform the Resources Services, as set out in a Service Order. Schedule means the schedule to this Agreement. Service Desk means our ad-hoc information technology support in response to information technology enquiries and issues concerning your business and submitted via a dedicated support email and phone number provided to you.
New Materials has the meaning as given in clause 13.1.
New Materials are materials created in the course of performing the Agreement, other than Buyer Data and Existing Materials. Where you create New Materials: • intellectual property rights in those New Materials are owned by you • you license us to use them in connection with the Solution • this licence is non-exclusive, non-transferable, perpetual and royalty free By exception: • where the New Materials form part of a subscription service, our licence will end on termination or expiry of the Agreement • alternative arrangements for particular items of New Materials may be set out in the Solution Requirements Logos and branding We will not use each other’s logos or brand without prior consent.
