Non-designated definition
Non-designated healthcare facility means a healthcare facility that either has chosen not to be a part of Michigan’s trauma care system, or a healthcare facility that the department has not designated as a level I regional trauma research facility, level II regional trauma facility, level III community trauma facility, or level IV trauma support facility.
Non-designated means a cluster or grouping of such uses that has not been designated as such in the land use bylaw.

Sign Location Leases”), or (ii) as set forth in Schedule 3.5, the execution and delivery of this Agreement by the Company do not, and the performance of this Agreement by the Company and the consummation of the transactions contemplated by this Agreement, will not (x) conflict with or violate the Certificate of Incorporation or Bylaws (or other organizational documents, as applicable) of the Company or of any of its Subsidiaries, (y) result in a violation or breach of, or constitute (with or without due notice or lapse of time or both) a default (or give rise to any right of termination, cancellation or acceleration) under, any of the terms, conditions or provisions of (I) any Material Contract (other than the Advertising Contracts and Non-Designated Sign Location Leases) or (II) any note, bond, mortgage, indenture, license, contract, agreement or other instrument or obligation to which the Company or a Subsidiary is a party or by which any of them or any of their respective properties or assets may be bound, excepting solely as to subpart (II) such violations, breaches and defaults which would not individually or in the aggregate have a Material Adverse Effect or (z) violate in any material respect any order, judgment, writ, injunction, decree, statute, treaty, rule or regulation applicable to the Company or any of its Subsidiaries or any of their respective properties or assets.
