Note Seller definition

Note Seller means Alpharma Bermuda, with respect to its interest in and rights under the German Loan, and Alpharma S.a.r.l., with respect to its interest in and rights under the U.K. Note.
Note Seller means any Settlement Class Member that sold, transferred, or assigned all or any portion of his, her or its: (1) Thaxton Note or a claim related thereto; or (2) any litigation rights related to a Thaxton Note or a claim related thereto, including, without limitation, any claims or causes of action against FINOVA, any of the Additional Defendant Parties, or any of the Thaxton Debtor Parties; provided, however, that any person that sold, transferred, or assigned any of the foregoing solely as a result of such person’s death shall not be a considered a Note Seller.

  • In the case of conversion of less than the entire principal of and interest under the Note, Seller shall cancel said Note and shall execute and deliver a new Note of like tenor for the unconverted amount of the Note dated the date of execution by Seller upon initial issuance of the Note notwithstanding any subsequent substitution.

  • Depositor and, by its acceptance of this Note, Seller also assent to extension of the time of payment, forbearance or other indulgence without notice.

  • This Agreement constitutes a valid and binding obligation of such Note Seller, enforceable against such Note Seller in accordance with its terms except as limited by bankruptcy and insolvency laws and other laws affecting the rights of creditors generally.

  • Upon payment of all amounts due under the Note, Seller shall release all of Seller's interest in and to the Pledged Shares and any proceeds therefrom to Buyer.
