Noteholder Agent definition

Noteholder Agent means the person (including an entity) appointed by written action of the Majority Noteholders to serve as agent for the Noteholders in regard to the Notes, including, but not limited to an Enforcement Action. The Noteholder Agent may but is not required to be a Noteholder. The Noteholder Agent may engage legal counsel and other professional advisors to assist in carrying out its duties. The Noteholder Agent shall be entitled to compensation as agreed to between the Noteholder Agent and the Majority Noteholders and paid by the Noteholders or the Majority Noteholders, as applicable.
Noteholder Agent means Phoenix Home Life Mutual Insurance Company and any successor collateral agent under, and as provided for in, the Note Purchase Agreements.
Noteholder Agent has the meaning provided in the introductory paragraph of this Agreement.

In the event (a) Compass Bank is no longer acting as the Collateral Agent under the Collateral Agency Agreement, and (b) some other person or entity is acting as the Collateral Agent under the Collateral Agency Agreement, such other person or entity shall also act as the Noteholder Agent hereunder, if willing to do so.
