Notice Condition definition

Notice Condition means, with respect to any intended action, that (i) after 10 days’ prior written notice thereof, Fitch has not notified the Administrator, the Servicer, the Owner Trustee, the Indenture Trustee or the Indenture Administrator that such intended action would result, in and of itself, in the reduction or withdrawal of its then-current rating of the Notes and (ii) each of Moody’s and S&P has notified the Administrator, the Servicer, the Owner Trustee, the Indenture Trustee and the Indenture Administrator in writing that such intended action will not result, in and of itself, in the reduction or withdrawal of its then-current rating of the Notes.

Notice Condition has the meaning assigned in the definition of Applicable Period.

  • Performance Condition means a condition related to performance which is specified by the Committee under Rule 4.1 (Terms of grant);
