  • Upon receipt of the Company's Notice of Intention to Transfer, each Series B, Series C, Series D and Series E Stockholder and Management shall have the right to elect to purchase, at the price and on the terms stated in the Company's Notice of Intention to Transfer, an amount of Equity equal to such Stockholder's aggregate proportionate ownership of the Stock held by all Stockholders multiplied by the amount of Equity to be issued.
