Notice of Payment of Termination Payment is amended by adding the following as a new last sentence of the section: “Notwithstanding any provision to the contrary contained in this Agreement, however, the obligations of the Non-Defaulting Party to pay any amount to the Defaulting Party under this Article 5 shall not arise, and the Non-Defaulting Party shall not be required to pay the Defaulting Party any amount under this Article 5 unless and until the Non-Defaulting Party receives confirmation satisfactory to it in its reasonable discretion that all other obligations of any kind whatsoever of the Defaulting Party to make any payments to the Non-Defaulting Party or its Affiliate under this Agreement or any other agreement have been fully and finally satisfied and performed.”
