Termination Price definition

Termination Price. As defined in Section 9.01.
Termination Price. An amount equal to the greater of (a) the sum of (i) 100% of the aggregate outstanding principal balance of each Mortgage Loan (other than Liquidated Mortgage Loans) remaining in the Trust on the day of such purchase, plus accrued interest thereon at the Note Rate and the amount of any outstanding Servicing Advances on such Mortgage Loans to the Due Date in the month in which the Termination Price is distributed to Certificateholders, less Bankruptcy Losses that would otherwise have been allocated to the Certificates and (ii) the lesser of (A) the Scheduled Principal Balance of the Mortgage Loan for each REO Property or other property remaining in the Trust, plus accrued interest thereon at the Note Rate (less the related Servicing Fee Rate) to the Due Date in the month in which the Termination Price is distributed to Certificateholders, and (B) the sum of the aggregate fair market value of any such REO Property and all other property of the Trust, and (b) the aggregate fair market value of all of the Mortgage Loans remaining in the Trust on the date of such purchase, plus all REO Property and any other property remaining in the Trust on the date of such purchase. The respective amounts under clause (a)(ii)(B) and clause (b) above shall be determined by the Securities Administrator in consultation with the Initial Purchaser (or, if the Initial Purchaser is unwilling or unable to serve in that capacity, a financial advisor selected by the Securities Administrator in a commercially reasonable manner, whose fees will be an expense of the Depositor (or other party causing the Termination Purchase)), based upon the mean of bids from at least three recognized broker/dealers that deal in similar assets) as of the close of business on the third Business Day preceding the date upon which notice of any such termination is furnished to Certificateholders pursuant to Section 9.03; provided, however, that in determining such aggregate fair market value, the Securities Administrator shall be entitled to conclusively rely on such bids or the opinion of a nationally recognized investment banker (the fees of which shall be an expense of the Trust). Termination Price has the meaning set forth in Section 11.1(b).

The Trustee shall consult with the Placement Agents and the Underwriters or their respective successors, as advisers, in order for the Trustee to determine whether the fair market value of the property constituting the Trust has been offered; provided that, if any Placement Agent or any Underwriter or an Affiliate of the Placement Agent or the Underwriters is exercising its right to purchase the Trust assets, the Trustee shall consult with the Operating Adviser in order for the Trustee to determine the fair market value, provided that the Operating Adviser is not an Affiliate of the Depositor, the Class R-I Holder, the Special Servicer or the Master Servicer, or a third party chosen by the Depositor unless the Depositor is bidding for such property, or the Trustee (the fees and expenses of which shall be paid for by buyer of the property). As a condition to the purchase of the Trust pursuant to this Section 10.1(b), the Depositor, the Holder of the majority of the Class R-I Certificates, the Special Servicer or the Master Servicer, as the case may be, must deliver to the Trustee an Opinion of Counsel, which shall be at the expense of the Depositor, such Holders, the Special Servicer or the Master Servicer, as the case may be, stating that such termination will be a "qualified liquidation" under section 860F(a)(4) of the Code.
