Examples of NWC Estimate in a sentence
The existence of any such dispute with respect to the NWC Estimate, the Hydrocarbon Inventory Estimate, the Indebtedness Estimate, the Transaction Expenses Estimate, and the Tax Insurance Policy Costs Estimate shall not delay or otherwise affect the Closing, it being understood that the respective amounts determined by each of Seller and Buyer pursuant to this Section 2.6(a) shall be used for purposes of determining the amount to be paid by Buyer pursuant to Section 2.5(a).
The existence of any dispute with respect to the NWC Estimate, the Indebtedness Estimate, or the CapEx Estimate shall not delay or otherwise affect Closing.
The purchase price to be paid by Purchaser to Sellers shall be one billion five hundred and seventy million dollars ($1,570,000,000.00) (the “Base Purchase Price”) plus the NWC Estimate (as adjusted in accordance with Section 2.06) and minus the sum of (a) the Per Diem Adjustment and (b) the Maintenance Adjustment Estimate, if any, (as adjusted in accordance with Section 2.06) (the sum of the amounts described in the immediately preceding sentence being referred to herein as the “Purchase Price”).

If the actual Net Working Capital, MTM Value of the Trading Book, or Credit Support Payment (as agreed between the Parties or as determined pursuant to clause (c) below) is less than the NWC Estimate, MTM Estimate, or Credit Support Payment Estimate, as applicable, then Seller shall pay Buyer the absolute value of the difference between such amounts in accordance with Section 2.7(d).
ASC shall pay to Buyer, within five Business Days after such amount is agreed or determined, by wire transfer of immediately available funds to an account designated by Buyer, an amount equal to the product of (1) the NWC Estimate minus the Net Working Capital and (2) the ASC Share.
If the actual Net Working Capital, MTM Value of the Trading Book, or Credit Support Payment (as agreed between the Parties or as determined pursuant to clause (c) below) is greater than the NWC Estimate, MTM Estimate, or Credit Support Payment Estimate, as applicable, then Buyer shall pay Seller an amount equal to the difference between such amounts in accordance with Section 2.7(d).
ASC within five Business Days after such amount is so agreed or determined, by wire transfer of immediately available funds to an account or accounts designated by ASC, an amount equal to the product of (1) Net Working Capital minus the NWC Estimate and (2) the ASC Share.
