The Company and its subsidiaries will not, directly or indirectly, use the proceeds from the sale of the Issuance Shares hereunder, or lend, contribute or otherwise make available such proceeds to any subsidiary, joint venture partner or other person, to fund, finance or facilitate activities, business or transactions that are prohibited by the FCPA, the OECD Convention or any other applicable anti bribery or anti corruption law or the rules and regulations thereunder.
