Old Xxxxxxx Controls Jersey SpinCo Sale has the meaning set forth in the Re- citals. “Other Tax” means any Federal Other Tax, State Other Tax or Foreign Other Tax. “Past Practices” has the meaning set forth in Section 3.03(a). “Payment Date” means (i) with respect to any Old Xxxxxxx Controls Federal Con- solidated Income Tax Return, the due date for any required installment of estimated taxes deter- mined under Section 6655 of the Code, the due date (determined without regard to extensions) for filing the return determined under Section 6072 of the Code, and the date the return is filed, and (ii) with respect to any other Tax Return, the corresponding or similar dates determined un- der the applicable Tax Law. “Person” means any individual, partnership, corporation, limited liability compa- ny, association, joint stock company, trust, joint venture, unincorporated organization or a gov- ernmental entity or any department, agency or political subdivision thereof, without regard to whether any entity is treated as disregarded for Federal Income Tax purposes. “Permitted Adient Carryback” has the meaning set forth in Section 5.01(d). “Post-Distribution Period” means any Tax Period beginning after the Distribution Date, and, in the case of any Straddle Period, the portion of such Straddle Period beginning the day after the Distribution Date.

  • Broad-Based Black Economic Empower-ment Act means the Broad-Based Black Economic Empowerment Act, 2003 (Act No. 53 of 2003);

  • COVID-19 symptoms means fever of 100.4 degrees Fahrenheit or higher, chills, cough, shortness of breath or difficulty breathing, fatigue, muscle or body aches, headache, new loss of taste or smell, sore throat, congestion or runny nose, nausea or vomiting, or diarrhea, unless a licensed health care professional determines the person’s symptoms were caused by a known condition other than COVID-19.

  • Coordinated External Transaction means a transaction to simultaneously purchase and sell energy on either side of a CTS Enabled Interface in accordance with the procedures of Operating Agreement, Schedule 1, section 1.13, and the parallel provisions of Tariff, Attachment K- Appendix.

  • disclosure period means the period commencing on 22 February 2012 (being the date 12 months prior to the commencement of the Offer Period) and ending on the disclosure date;
